ServiceNow has agreed to acquire Israeli cybersecurity company Armis for $7.75 billion in cash, one of the largest cybersecurity transactions of 2025 and among the biggest exits ever for an Israeli-founded cyber firm.
The deal significantly expands ServiceNow’s security capabilities across IT, operational technology (OT), medical devices, and IoT, while delivering a major liquidity event for Armis’ founders. ServiceNow, founded in 2004, provides cloud-based platforms for IT service management, workflow automation, and digital transformation for large organizations worldwide.
Armis was founded nearly a decade ago by CEO Yevgeny Dibrov and CTO Nadir Izrael and has grown into a global leader in cyber exposure management, employing around 950 people in Israel and abroad. The company secures complex environments that traditional tools often miss, including industrial systems and medical devices, as digital transformation and AI adoption rapidly expand attack surfaces.
Under the agreement, Dibrov and Izrael each hold roughly 6% of Armis. Once the transaction closes, each founder is expected to receive about $465 million in cash, making this one of the most significant founder liquidity events in Israel’s tech sector.
